  一、基本案情

  徐曉麗、方小軍系方輝父母,方輝與胡楠系夫妻之間關(guān)系,2011年8月28日登記進(jìn)行結(jié)婚,婚后與胡楠父母可以共同生活居住在中國(guó)北京市北京西城區(qū)87號(hào)房屋。徐曉麗、方小軍住在一個(gè)北京市昌平區(qū),2012年為了自己照顧這個(gè)兒媳胡楠生孩子,決定換房。2012年9月8日,由徐曉麗、方小軍出資,方輝、胡楠交納了購(gòu)房支付定金,購(gòu)買了公司位于西城區(qū)130號(hào)房屋。由于昌平區(qū)的房子我們不能沒有馬上開始出手,而徐曉麗、方小軍均已達(dá)到退休,所以企業(yè)不能通過使用以及公積金個(gè)人貸款,所以使用了方輝、胡楠的名義。后賣房?jī)斶€銀行貸款,請(qǐng)求幫助對(duì)方完成過戶,但遭到社會(huì)拒絕。

  方說,徐曉麗和方買了這套房子作為替代,但是由于昌平區(qū)還沒有賣出去,他們向胡的父母借了35萬元作為首付。為了使用其公積金,所以房屋登記在方惠、湖南名下。2012年9月8日,她和母親徐曉麗以及妻子胡楠取出90000美元支付押金和稅款,后來因?yàn)闊o法支付,他以妻子胡楠的名義將這筆錢存入了中國(guó)銀行的一個(gè)賬戶。2012年12月16日,她的母親徐曉麗用出售房屋的首付款償還了胡楠父母的貸款。其余7萬元用于支付押金、稅費(fèi)。然后她把剩下的錢從她的房子轉(zhuǎn)移到她的公積金賬戶,認(rèn)為房子應(yīng)該屬于徐曉麗,方曉軍所有。

  胡楠稱置換買房是為了互相照顧,徐曉麗、方小軍將房屋賣掉償還借款和貸款是對(duì)子女的贈(zèng)與,徐曉麗、方小軍有其他住房,只是出租出去了。不存在借用方輝公積金貸款買房的情況,如果借用方輝名義買房,可以在賣掉昌平區(qū)的房屋后再買房,沒有必要先向其父母借錢;且用了方輝的公積金貸款,其與方輝要買房時(shí)就無法進(jìn)行公積金貸款了,因此徐曉麗、方小軍說的不符合常理。現(xiàn)在由于自己與方輝感情出現(xiàn)問題,他們是為財(cái)產(chǎn)分割做準(zhǔn)備。

  2012年9月8日,方輝、胡楠(買受人)與張朋(出賣人)簽訂《北京市存量進(jìn)行房屋信息買賣雙方合同(經(jīng)紀(jì)業(yè)務(wù)成交版)》一份,約定:出售人向買受人可以出售北京市西城區(qū)130號(hào)房屋,成交價(jià)為100萬元,房屋設(shè)計(jì)家具、家電、裝飾工程裝修及配套基礎(chǔ)設(shè)施等作價(jià)20萬元,上述價(jià)款由買受人一并另行支付給出賣人;買受人向出賣人支付企業(yè)定金5萬元,買受人向公積金制度管理研究中心擬貸款項(xiàng)目金額為80萬元;自合同以及簽訂之日起120日內(nèi)雙方向發(fā)展房屋權(quán)屬登記相關(guān)部門提出申請(qǐng)銀行辦理建設(shè)房屋權(quán)屬風(fēng)險(xiǎn)轉(zhuǎn)移人口登記工作手續(xù)。

  2012年10月24日,北京西城區(qū)130號(hào)房登記為方暉和湖南共有。

  2013年1月,方輝申請(qǐng)一次性還清爭(zhēng)議房屋貸款本息80萬元。同年1月28日,北京市住房貸款擔(dān)保中心出具《還貸確認(rèn)函》,確認(rèn)方慧已還清爭(zhēng)議房屋的貸款本息。

  一審法院判決:駁回徐曉麗、方小軍的訴訟服務(wù)請(qǐng)求。

  二審判決: 駁回上訴及維持原判。

  二、律師點(diǎn)評(píng)

  本案的爭(zhēng)議焦點(diǎn)在于徐曉麗、方小軍的出資行為是否構(gòu)成借名買房的事實(shí)并進(jìn)而確定所有權(quán)的歸屬。由于借名買房涉及相當(dāng)復(fù)雜的利益博弈,游離在合法與非法的罅隙之間,往往受到公序良俗的嚴(yán)格規(guī)制,故如何在法律規(guī)定許可的范圍內(nèi)恰當(dāng)?shù)仄胶飧鞣降年P(guān)系,是司法審判面臨的很大困惑。通常,法院需要審查的主要是以下幾點(diǎn)內(nèi)容。

  1.所有權(quán)屬于投資關(guān)系的邊界

  訴訟中,當(dāng)事人以自己是實(shí)際出資人、購(gòu)房屬于名下購(gòu)房關(guān)系為由要求變更登記的房屋買賣合同糾紛,實(shí)質(zhì)上是圍繞所有權(quán)的確認(rèn)和歸屬展開的。根據(jù)《物權(quán)法》第九條、第十四條、第十六條、第十七條的規(guī)定,結(jié)合《物權(quán)法》的公示公信原則,可以知道,不動(dòng)產(chǎn)物權(quán)的變更一般必須依法登記,不動(dòng)產(chǎn)登記簿是不動(dòng)產(chǎn)權(quán)屬和內(nèi)容的依據(jù),不動(dòng)產(chǎn)權(quán)屬證書是權(quán)利人享有不動(dòng)產(chǎn)物權(quán)的證明。可見,不動(dòng)產(chǎn)登記簿和不動(dòng)產(chǎn)權(quán)屬證書上登記的主體是不動(dòng)產(chǎn)權(quán)利的權(quán)利人,除非有證據(jù)證明登記有誤或者雙方之間存在合法有效的法律關(guān)系,如本案所涉及的名下購(gòu)房的合同關(guān)系。

  顯然,這不同于純粹的投資關(guān)系。貨幣作為一種貨物,占有是實(shí)現(xiàn)所有權(quán)的轉(zhuǎn)讓,一方當(dāng)事人將貨幣交付給另一方當(dāng)事人,如果沒有其他特別協(xié)議或法律規(guī)定,貨幣的所有權(quán)立即喪失,并在雙方之間形成新的法律關(guān)系。借貸關(guān)系屬于人與相對(duì)權(quán)利的關(guān)系。債權(quán)人不能要求對(duì)方以后使用貨幣獲得的財(cái)產(chǎn)形式。因此,在審理本案及類似案件時(shí),有必要審查是否存在以他人名義購(gòu)買房屋的貸款這一核心部分,并區(qū)分實(shí)際出資可能造成的貸款與所有權(quán)的關(guān)系,不能因?yàn)橐环疆?dāng)事人是實(shí)際出資人而輕率地確定其為所有權(quán)人。

  2.借名買房對(duì)于合同的效力

  由于企業(yè)是否可以存在借名買房的事實(shí)是審查的核心組成部分,而借名買房合同進(jìn)行有效管理又是通過合理質(zhì)疑不動(dòng)產(chǎn)登記簿與不動(dòng)產(chǎn)權(quán)屬證書登記、進(jìn)而辦理權(quán)屬變更的關(guān)鍵,故首先需要對(duì)借名購(gòu)房合同的效力社會(huì)問題研究做出具體分析。

  合同法奉行合同進(jìn)行自由發(fā)展原則。借名買房合同管理實(shí)施上是一種社會(huì)存在借名人與登記人之間的約定,屬于合同法規(guī)制的合同法律關(guān)系。盡管《合同法》沒有一個(gè)明確企業(yè)規(guī)定通過這種技術(shù)合同類型,但這并不重要影響該法的適用,只是我們作為無名合同,應(yīng)當(dāng)適用合同法總則并參照類似有名合同的相關(guān)政策規(guī)定。

  根據(jù)購(gòu)房的性質(zhì),可以分為兩種類型的貸款購(gòu)房合同。一是以借貸的名義購(gòu)買政策性住房,包括社會(huì)福利住房限購(gòu)、雙限購(gòu)等保障性低收入住房困難的家庭住房。政策性住房是國(guó)家為保障特定人群的居住權(quán)而提供的一種政策性住房。假借他人購(gòu)房,是為了規(guī)避對(duì)購(gòu)房資格的限制,違背國(guó)家保障中低收入家庭生活權(quán)等一定人權(quán)的政策,損害廣大有購(gòu)房資格的人的利益,違背社會(huì)公共利益,因此,假借他人購(gòu)房的合同應(yīng)視為無效社會(huì)福利住房。借款人要求確認(rèn)房屋所有權(quán)或者要求登記人以雙方協(xié)議的名義登記房屋所有權(quán)的,不予支持。然而,以貸款名義購(gòu)買社會(huì)福利住房的原始購(gòu)買合約是在2008年4月11日(包括)前簽訂的,如果購(gòu)買房屋的合約各方同意在上市交易的期限屆滿后,或在原訟法庭辯論結(jié)束前,該房屋已符合上市交易的條件,借用該房屋的名義購(gòu)買合約是有效的。

  另一類是借名購(gòu)買一個(gè)普通商品房,多數(shù)是為了規(guī)避限購(gòu)、信貸管理政策。規(guī)避限購(gòu)、信貸發(fā)展政策方面并沒有侵犯公共經(jīng)濟(jì)利益。如規(guī)避限購(gòu)政策,借名買房的行為問題沒有自己造成購(gòu)房數(shù)量已經(jīng)超過國(guó)家調(diào)控的總量,沒有侵犯中國(guó)社會(huì)主義公共安全利益。如規(guī)避信貸相關(guān)政策,借名購(gòu)房辦貸規(guī)避銀行個(gè)人信貸政策的行為,規(guī)避的是首付款的支付一定比例及利率水平,而銀行工作并不能夠代表我們國(guó)家之間或者通過社會(huì)環(huán)境公共文化利益。因此,借名購(gòu)買商品房的行為未侵犯社會(huì)提供公共利益,在符合設(shè)計(jì)一般合同成立、生效要件的情況下,借名購(gòu)買普通商品房的合同認(rèn)定為一種有效。本文“借名買房”所指的也正是因?yàn)檫@類借名購(gòu)買普通商品房的合同。

  3.具體確定貸款名稱與購(gòu)買房屋之間的關(guān)系

  認(rèn)定借名買房的最大經(jīng)濟(jì)困難問題在于,當(dāng)事人往往在具體的交易發(fā)展過程中我們并沒有真正形成一個(gè)書面而明確的借名買房合同。根據(jù)《最高國(guó)家人民法院進(jìn)行關(guān)于我國(guó)民事法律訴訟證據(jù)的若干相關(guān)規(guī)定》第五條第一款“在合同管理糾紛案件中,主張合同沒有關(guān)系可以成立并生效的一方當(dāng)事人對(duì)合同訂立和生效的事實(shí)承擔(dān)舉證責(zé)任”的規(guī)定,依據(jù)借名買房關(guān)系基本要求以及房屋過戶的一方當(dāng)事人,承擔(dān)著證明雙方信息之間是否存在借名買房合同的舉證責(zé)任。而事后發(fā)生矛盾糾紛顯然舉證極為困難,在無法舉證及推定的情況下,即便他們能夠充分證明中國(guó)實(shí)際出資,也僅能讓法院確信借貸市場(chǎng)關(guān)系而非借名買房關(guān)系。

  對(duì)此,《北京市高級(jí)人民法院關(guān)于審理住房合同糾紛適用拖放法律問題的指導(dǎo)意見(審理)》第15條作了詳細(xì)規(guī)定。根據(jù)本文,在處理此類糾紛過程中,確定是否存在貸款購(gòu)房合同關(guān)系的證據(jù)主要有以下三個(gè)方面: 第一,借款人與登記人之間的貸款,如雙方簽訂的書面合同; 第二,貸款名人購(gòu)房確實(shí)存在資本出資關(guān)系,如銀行轉(zhuǎn)賬證明或貸款名人出具的收據(jù)證明;第三,貸款名人實(shí)際享有的住房權(quán)利,如貸款名人參與購(gòu)房手續(xù),如果雙方?jīng)]有書面協(xié)議,可以根據(jù)查明的事實(shí)全面確定。

  具體到本案,雖然許小莉、方小軍提供了一些證據(jù),但基本上與實(shí)際投資相關(guān)。他們沒有提供實(shí)名登記的書面合同,也沒有提供實(shí)際享有房屋權(quán)益的證據(jù)。事實(shí)上,從一審查明的事實(shí)來看,方輝、胡楠是參與整個(gè)購(gòu)房程序的購(gòu)房合同經(jīng)辦人和當(dāng)事人,也是實(shí)際的房屋裝修人和住戶。因此,許小莉、方小軍提供的證據(jù)不足以證明雙方當(dāng)事人之間存在購(gòu)買名下房屋并進(jìn)行登記的約定。本案中,法院判決許小莉、方小軍承擔(dān)舉證不能的后果,駁回其要求辦理房屋權(quán)屬轉(zhuǎn)移登記的訴訟請(qǐng)求,并指出爭(zhēng)議房屋的出資問題可以另行解決,于法有據(jù),合理合法。
